These Terms and Conditions apply to all services provided by K.S. Ganbert & Sons (Sudan) Limited (“Ganbert”, “we”, “us”, “our”) to any customer (“you”, “your”, “customer”) for operations within Sudan and international services originating from or destined to Sudan.
Term Meaning
“Agreement” These Terms and Conditions together with any written quotation, inventory, or contract signed by both parties
“Goods” All items, household effects, personal belongings, commercial cargo, or vehicles entrusted to Ganbert for transport, storage, or handling
“Quotation” The written estimate provided by Ganbert for specific services (non-binding unless otherwise stated)
“Services” Packing, loading, transport (road, sea, air), customs clearance, storage, unloading, unpacking, or any other service described in the Quotation
“SDG” Sudanese Geneh – the official currency of Sudan
“Storage” Warehousing of Goods for a defined or indefinite period
“Transit” The period from when Ganbert takes physical possession of Goods until delivery to destination
2.1 Currency and Payment Methods
Accepted Currencies: USD, EUR, GBP, or HKD
Accepted Payment Methods: Cash or bank transfer
Exchange Rate Risk: Quotations based on exchange rates at time of issue. Ganbert reserves the right to adjust prices if exchange rates fluctuate before full payment is received.
2.2 Validity of Quotations
Written quotations are valid for 30 days from date of issue.
IMPORTANT – Freight Charges: Freight charges quoted by third-party carriers (shipping lines, airlines, trucking companies) can change without notice. Ganbert reserves the right to pass on any such increase to the customer.
Fuel Surcharge: Carriers may impose fuel surcharges at any time. These are not included in the base quotation and will be billed to the customer as incurred.
2.3 Nature of Quotations
Non-Binding: Ganbert does not offer binding or fixed quotes. All quotations are estimates subject to change based on final volume, actual freight rates, and unforeseen circumstances.
Revised Quotation: A revised quotation may be issued if:
Additional Goods are added after the initial survey
Access issues arise (e.g., no elevator, narrow stairs, long carry distances)
Government policies change (e.g., new taxes, customs duties, or import/export restrictions)
Exchange rates move significantly
Third-party carriers increase freight rates or fuel surcharges
Customer causes delays resulting in demurrage or storage charges (see Section 6)
3.1 Deposit Requirement
The deposit amount and payment schedule shall be as specified in the individual Agreement between Ganbert and the customer.
Standard practice: Deposit is required before any work commences (packing, loading, or shipping).
3.2 Final Balance
The final balance is due before delivery of Goods to the destination, and/or dispatch of goods via Sudan’s ports – unless agreed terms with the customer in writing.
No Goods will be released for final delivery until all outstanding amounts are paid in full.
3.3 Late Payment
Any payment not received by the due date will incur interest at 10% per annum (or maximum permitted by law) calculated daily from the due date until full payment is received.
Ganbert reserves the right to suspend all services, including storage, customs clearance, and delivery, until late payments are settled.
3.4 Customer Deposits (Duties, Containers, etc.)
Ganbert may require the customer to pay deposits for the following. These are refundable only under the conditions stated:

Important: Container deposits are paid by the customer directly or through Ganbert. The final refund is conditional on the container being returned to port in good condition by the carrier’s deadline. Ganbert is not liable for any reduction or forfeiture of deposit caused by:
Late return of container by the customer
Damage to container
Carrier policy changes
3.5 Disbursement Fees
Ganbert may pay certain charges on the customer’s behalf (e.g., customs duties, port fees, storage, inspection fees, permits, taxes, penalties).
Disbursement Fee: A fee of 10% or min $50] will be added to all monies paid out of Ganbert’s own pocket on behalf of the client.
This fee covers administrative costs, bank charges, and risk of advancing funds.
3.6 Consequences of Non-Payment
Failure to pay any of the following immediately when due will result in delays to customs clearance and delivery:
Customs duties
Demurrage charges
Port storage fees
Taxes or penalties
Permit fees
Customs inspection charges
Important: Delays caused by non-payment will result in additional demurrage and port storage charges, which shall be borne solely by the customer. Ganbert is not responsible for any penalties, loss, or damage resulting from delayed clearance due to customer non-payment.
Ganbert reserves the right to impose additional penalties for late payment, including but not limited to:
A late payment fee of min $50 or 1.5% of invoice value]
Suspension of all services until payment is received
4.1 Cancellation by Customer
Free cancellation period: 14 days before scheduled service commencement (packing, loading, or shipping date).
Cancellation after 14 days: Deposit is non-refundable if cancellation occurs less than 14 days before scheduled service commencement, as Ganbert will have incurred costs (crew scheduling, transport booking, materials purchased).
4.2 Refund of Deposits
Customer Duties Deposits: Refunded only if cancellation occurs before any duties have been paid to customs. If duties have already been paid, the deposit is non-refundable.
Container Deposits: Refunded only if container has not been shipped and carrier agrees to return deposit.
Other deposits: Refundable on a case-by-case basis.
4.3 Cancellation by Ganbert
Ganbert reserves the right to cancel or refuse any service if:
Payment is not received as agreed
Customer provides false or misleading information about Goods
Safety or security concerns arise
Government restrictions or force majeure events prevent performance
5.1 Customer Responsibility
The customer is solely responsible for:
Providing accurate and complete customs documentation
Obtaining any required import/export permits or licenses
Paying all customs duties, taxes, and penalties
Ensuring Goods comply with Sudanese and destination country laws
5.2 Delays Caused by Customs
Ganbert is not liable for delays caused by:
Customs inspections or holds
Missing or incorrect documentation provided by the customer
Disputes over valuation or classification of Goods
Strikes, system outages, or other events at customs authorities
5.3 Demurrage, Port Storage, and Inspection Charges
The following charges, if incurred, shall be paid by the customer before Goods are released from airport or port:

Ganbert has the right to demand immediate payment of these charges before proceeding with clearance or delivery.
6.1 Maximum Liability
Ganbert’s maximum liability for loss of or damage to Goods during transport (road, sea, or air) is USD $2.00 per kilogram (or local currency equivalent).
This limit applies unless the customer has purchased additional Marine or Transit Insurance through Ganbert or a third party.
Important: This liability limit is significantly lower than the actual value of most household goods. Ganbert strongly recommends purchasing transit insurance.
6.2 Time Limit for Claims
Any claim for loss or damage must be reported to Ganbert in writing within 7 days of delivery.
After 7 days, Goods are deemed accepted in good condition, and no claim will be accepted.
For total loss of a shipment (non-delivery), claim must be filed within 30 days of expected delivery date.
6.3 Items NOT Accepted for Liability
Ganbert accepts no liability whatsoever for the following items, regardless of how loss or damage occurs:

6.4 Condition of Used Electronics
Ganbert does not test used electronics before packing.
We accept no liability for electronics that fail to function after transit, even if no external damage is visible.
Customers should back up all data before shipping.
6.5 Vehicles
Ganbert accepts no liability for damage to vehicles during shipping unless the customer has purchased separate vehicle transit insurance.
Pre-existing scratches, dents, or mechanical issues are the customer’s responsibility to document with photos before shipping.
7.1 Accurate Declaration
The customer must:
Provide a full, accurate inventory of all Goods
Declare any high-value items (individual value exceeding $500 USD or equivalent)
Disclose any prohibited, restricted, or dangerous Goods
Provide correct contact information and delivery address
7.2 Prohibited Goods
The customer may not submit the following for transport or storage:
Hazardous materials (explosives, flammable liquids, gases, corrosives, radioactive materials) – unless special permit obtained and declared
Illegal goods (drugs, contraband, unlicensed weapons)
Perishable food or liquids (unless professionally packed and refrigerated transport arranged)
Live animals (handled separately via Pet Relocation service with special terms)
7.3 Right to Inspect
Ganbert reserves the right to inspect any shipment at any time, including opening packages, to verify contents for safety, customs compliance, or security reasons.
7.4 Documentation
The customer must provide all documents required for transport and customs clearance, including but not limited to:
Passport or national ID copy
Visa or residency permit (for international moves)
Packing list and inventory
Bill of lading or air waybill (as provided by Ganbert)
Import/export permits (if required)
Certificate of origin (if required)
Failure to provide documents in a timely manner may result in delays, storage charges, or forfeiture of Goods.
Ganbert shall not be liable for any delay, loss, or damage caused by events beyond our reasonable control, including but not limited to:

Natural Events Floods, earthquakes, sandstorms, extreme heat (affecting transport), pandemics
Labour Disputes Strikes, lockouts, port worker slowdowns
Infrastructure Failure Road closures, bridge collapses, port equipment breakdown, power outages
Carrier Issues Vessel or aircraft breakdown, schedule changes, overbooking, bankruptcy of carrier
If a force majeure event occurs:
Ganbert will notify the customer as soon as practical
Delivery timelines will be extended reasonably
Additional costs incurred (demurrage, storage, rerouting) shall be borne by the customer or shared as agreed
9.1 Storage Rates
Monthly storage rates are as quoted in the Agreement or separate Storage Contract.
Rates are subject to change with 30 days written notice.
9.2 Minimum Storage Period
Minimum storage period is as specified in the Agreement (typically 1 month for long-term, 1 week for short-term).
9.3 Termination of Storage
Customer must provide written notice to terminate storage. Notice period: 14 days.
All outstanding storage fees must be paid before Goods are released.
9.4 Unpaid Storage
If storage fees remain unpaid for 90 days after the due date:
Ganbert may give 30 days written notice of intent to dispose of the Goods.
If payment is not received within 30 days, Ganbert may sell or otherwise dispose of the Goods.
Proceeds from sale will be applied to outstanding storage fees, with any remainder held for the customer for 12 months.
Ganbert is not liable for any loss or diminution in value of Goods sold or disposed of under this clause.
10.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Sudan.
10.2 Jurisdiction
Any dispute arising from this Agreement shall be submitted to the exclusive jurisdiction of the Civil Court of Khartoum, Sudan.
10.3 Arbitration (Optional)
Before initiating court proceedings, either party may request binding arbitration under the rules of the [insert arbitration body – e.g., Sudan Centre for Arbitration]. Arbitration is:
Faster and less expensive than court litigation
Conducted in Khartoum in Arabic or English (as agreed)
Final and binding on both parties

11.1 Strong Recommendation
Ganbert strongly recommends that all customers purchase transit insurance for their Goods. Our liability is limited to USD $2.00 per kilogram (see Section 6.1), which is far below the value of most household goods.
11.2 Insurance Broker Services
Ganbert acts as an insurance broker and can arrange Marine, Road, Air, Vehicle, and Household Goods insurance through reputable underwriters.
11.3 Customer Declaration
By signing this Agreement, the customer acknowledges that:
They have been offered the opportunity to purchase transit insurance
They understand Ganbert’s limited liability
They accept the risk of not purchasing insurance
12.1 Entire Agreement
These Terms and Conditions, together with any written Quotation or Agreement signed by both parties, constitute the entire agreement between Ganbert and the customer. No verbal representations or promises are binding.
12.2 Amendments
No amendment to these Terms and Conditions is effective unless in writing and signed by an authorized representative of Ganbert.
12.3 Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.4 Waiver
Failure by Ganbert to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.
By accepting a Quotation, signing an Agreement, or requesting Ganbert to commence Services, the customer acknowledges that they have:
Read and understood these Terms and Conditions
Agreed to be bound by them
Received a copy of these Terms and Conditions (available on request or on our website)
